ChatGPT is owned and operated by OpenAI, but OpenAI itself has a more complicated ownership and governance structure than a typical technology company. As of September 2026, the OpenAI Foundation controls OpenAI Group PBC, the public-benefit corporation that operates OpenAI’s commercial business, including ChatGPT.

That means ChatGPT is not personally owned by Sam Altman, Microsoft, Elon Musk, or another individual company. Several investors and employees hold economic interests in OpenAI Group, but control remains with the OpenAI Foundation under OpenAI’s current structure.

    Who Owns ChatGPT?

ChatGPT is an OpenAI product. OpenAI describes ChatGPT as its main user-facing product, while OpenAI’s broader business also includes its API and other AI products.

The important distinction is between owning ChatGPT as a product and owning shares in the company that operates it. ChatGPT does not have a separate public ownership structure. It is operated as part of OpenAI.

OpenAI’s current corporate structure has two principal parts:

    EntityRoleControl
OpenAI FoundationNonprofit organizationControls OpenAI Group PBC
OpenAI Group PBCFor-profit public-benefit corporationRuns the commercial OpenAI business
MicrosoftMajor investorHolds roughly 27% of OpenAI Group
Employees and investorsOther equity holdersHold the remaining economic interest

OpenAI says the Foundation held a 26% equity stake in OpenAI Group at the completion of its 2025 recapitalization, while Microsoft held roughly 27% and current and former employees and investors held the remaining 47%.

    Does Sam Altman Own ChatGPT?

No. Sam Altman is OpenAI’s CEO and a co-founder, but ChatGPT is not his personal property.

OpenAI’s current structure separates executive leadership from ultimate corporate control. The OpenAI Foundation has special voting and governance rights that allow it to appoint all members of OpenAI Group’s board and replace directors when necessary. Sam Altman serves on the Foundation’s board alongside other directors, but he does not personally control OpenAI.

This distinction is important because online discussions sometimes describe Sam Altman as the “owner” of ChatGPT simply because he is the company’s most visible executive.

A CEO manages a company, while ownership and voting control are determined by the company’s legal and equity structure. In OpenAI’s case, those responsibilities are distributed across the Foundation, the PBC, shareholders, and the board.

    Does Microsoft Own ChatGPT?

Microsoft is one of OpenAI’s largest investors and has a major strategic relationship with the company, but Microsoft does not control ChatGPT.

Following OpenAI’s 2025 recapitalization, Microsoft held approximately 27% of OpenAI Group PBC on an as-converted diluted basis, according to OpenAI. Microsoft described its investment following the restructuring as being worth approximately $135 billion at that time.

However, having a large equity stake is different from having controlling authority. OpenAI states that the OpenAI Foundation retains control of OpenAI Group through special voting and governance rights.

Microsoft and OpenAI have maintained a major partnership since 2019. Microsoft’s investment and infrastructure relationship has helped OpenAI develop and deploy its AI systems, but the partnership does not make Microsoft the owner of ChatGPT.

    Who Controls OpenAI?

The OpenAI Foundation controls OpenAI Group PBC.

This arrangement dates back to OpenAI’s origins as a nonprofit organization. OpenAI was founded in 2015 as a nonprofit with the stated mission of ensuring that artificial general intelligence benefits humanity. In 2019, it established a for-profit subsidiary to obtain the capital needed to expand its research and development.

In October 2025, OpenAI completed a major restructuring. The nonprofit became the OpenAI Foundation, while the for-profit operation became OpenAI Group PBC, a public-benefit corporation. The Foundation retained control of the Group.

The Foundation’s special governance rights are particularly significant. OpenAI says the Foundation can appoint all members of the OpenAI Group board and can replace directors at any time.

Therefore, the largest shareholder and the controlling organization are not necessarily the same thing.

    What Is OpenAI Group PBC?

OpenAI Group PBC is the for-profit entity responsible for OpenAI’s commercial operations.

“PBC” stands for Public Benefit Corporation. Unlike a conventional corporation, a public-benefit corporation is designed to pursue a stated public benefit while also operating as a commercial business.

OpenAI created this structure as part of its effort to raise substantial amounts of capital while maintaining its mission-oriented governance. OpenAI says the Foundation and OpenAI Group share the same mission.

This structure allows OpenAI to have conventional equity investors while preserving control through the nonprofit Foundation.

How Much of OpenAI Does Microsoft Own?

Microsoft owns approximately 27% of OpenAI Group PBC, based on the ownership structure announced after the October 2025 recapitalization.

The percentage should not be confused with control of OpenAI.

OpenAI’s structure gives the Foundation special voting and governance powers. Consequently, Microsoft can have a substantial economic interest without having the same level of governance authority as the Foundation.

The precise economic value of Microsoft’s investment can change as OpenAI’s valuation and capital structure change. For that reason, a dollar value reported at one point should not be treated as a permanent measure of Microsoft’s ownership.

Who Owns the Rest of OpenAI?

After the 2025 recapitalization, OpenAI reported this broad ownership breakdown:

    • OpenAI Foundation: approximately 26%
    • Microsoft: approximately 27%
    • Current and former employees and investors: approximately 47%

These figures describe equity ownership in OpenAI Group, rather than saying that these parties individually own ChatGPT as a separate asset.

OpenAI also says the Foundation holds a warrant that could provide additional equity if specified valuation conditions are met. The warrant is designed to connect the Foundation’s long-term resources to the future value of OpenAI Group.

    Is OpenAI Still a Nonprofit?

Yes, but the terminology requires some explanation.

OpenAI itself is no longer simply one nonprofit entity. Under the current structure, the OpenAI Foundation is the nonprofit, while OpenAI Group PBC is the for-profit public-benefit corporation.

The Foundation controls the commercial group. OpenAI says this structure was completed in 2025 following discussions with the attorneys general of California and Delaware.

This is different from saying that ChatGPT is operated directly by a traditional nonprofit. ChatGPT is part of OpenAI’s commercial operations, while those operations remain under the Foundation’s controlling governance framework.

Why Was OpenAI’s Ownership Structure Changed?

OpenAI’s earlier structure was created when the organization needed to raise significant private capital to fund increasingly expensive AI research.

In 2019, OpenAI established a capped-profit structure that allowed investors and employees to receive financial returns while keeping the nonprofit in control. OpenAI later concluded that a conventional equity structure would make it easier to raise the capital required for increasingly expensive AI development.

The 2025 restructuring replaced that earlier arrangement with OpenAI Group PBC. OpenAI said the new structure was intended to combine commercial financing with continued nonprofit control.

This is one reason simple statements such as “Microsoft owns OpenAI” or “Sam Altman owns ChatGPT” can be misleading.

    Who Founded OpenAI?

OpenAI was founded in 2015 as a nonprofit artificial-intelligence research organization.

Its early founders and prominent founding figures included Sam Altman, Elon Musk, Greg Brockman, Ilya Sutskever, John Schulman, Wojciech Zaremba and others.

However, being a founder does not automatically mean someone continues to own or control the organization. Elon Musk subsequently left OpenAI, and OpenAI’s current governance structure is substantially different from its original founding arrangement.

OpenAI’s own historical materials describe the organization as having been founded as a nonprofit and later creating its for-profit structure in 2019.

Does Elon Musk Own Any Part of ChatGPT?

Elon Musk is a former co-founder of OpenAI, but he is not the owner of ChatGPT.

OpenAI’s current ownership and governance documents identify the OpenAI Foundation, Microsoft, employees and other investors as the principal holders of interests in OpenAI Group. Musk is not identified in OpenAI’s current ownership breakdown as a controlling owner of the company.

Musk’s relationship with OpenAI has also become the subject of legal disputes, making it especially important to distinguish historical involvement from current ownership.

    Is ChatGPT a Microsoft Product?

No. ChatGPT is an OpenAI product.

Microsoft is a major OpenAI investor and technology partner, but OpenAI identifies ChatGPT as one of its own products. OpenAI’s product materials describe ChatGPT as its main user-facing AI product.

Microsoft’s relationship with OpenAI is therefore better described as a major investment and strategic partnership rather than ownership of the ChatGPT brand or product.

    How Does ChatGPT Make Money?

ChatGPT operates as part of OpenAI’s commercial business and is offered through multiple types of access, including free and paid plans.

OpenAI also generates revenue through business offerings and developer access to its AI technology. In 2026, OpenAI continued expanding ChatGPT for consumer and business use while also developing its API and other AI products.

The commercial revenue generated by OpenAI Group can contribute to the economic value of its shareholders, including the OpenAI Foundation. OpenAI’s current structure therefore connects the success of its commercial business with the financial resources available to its nonprofit Foundation.

Who Is the CEO of OpenAI?

Sam Altman is the CEO of OpenAI. He is responsible for leading the company, but his position as CEO should not be confused with personal ownership of OpenAI or ChatGPT.

OpenAI’s governance structure includes a board and the OpenAI Foundation’s special rights. The Foundation’s board currently includes Altman along with independent directors and other members.

This distinction between CEO, shareholder and controlling organization is central to understanding who owns ChatGPT.

    ChatGPT Ownership vs. OpenAI Control

The simplest way to understand the structure is to separate four concepts:

ChatGPT: OpenAI’s AI assistant and consumer-facing product.

OpenAI Group PBC: The for-profit public-benefit corporation operating OpenAI’s commercial business.

OpenAI Foundation: The nonprofit organization that controls OpenAI Group through special governance rights.

Shareholders: The Foundation, Microsoft, employees and investors hold economic interests in OpenAI Group.

These roles overlap economically but are not identical legally or operationally.
